Terms of Service

These Terms of Service (“Terms”) govern your use of the GuidedSign platform operated by GuidedSign (“we,” “us,” “our”) at www.guidedsign.com. By using GuidedSign, you agree to these Terms.

1. Service Description

GuidedSign is an electronic signature platform that enables users to upload documents, place signature fields, and send documents to recipients for signing. The platform provides a guided signing experience designed for ease of use.

2. Accounts

You must create an account to send documents for signing. You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating your account. You must be at least 18 years old to create an account.

3. Electronic Signatures

GuidedSign facilitates electronic signatures that are intended to be legally binding under the United States Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). By using GuidedSign to sign documents, all parties consent to conducting business electronically and agree that electronic signatures carry the same legal weight as handwritten signatures.

GuidedSign captures audit trails for each signing session, including timestamps, IP addresses, browser information, and consent records. These audit trails serve as evidence of the signing process.

Important: GuidedSign is not a law firm and does not provide legal advice. You are responsible for ensuring that the documents you send comply with applicable laws and regulations. Consult an attorney if you have questions about the legal enforceability of your specific documents.

4. Acceptable Use

You agree not to:

• Use GuidedSign for illegal purposes or to facilitate fraud
• Upload documents containing malware, viruses, or harmful code
• Attempt to gain unauthorized access to other users’ accounts or data
• Use the service to send unsolicited or harassing communications
• Reverse engineer, decompile, or disassemble any part of the platform
• Exceed the usage limits of your plan through automated means

5. Plans and Pricing

GuidedSign offers a free plan (limited to 3 documents) and paid Pro plans. Paid plans are billed monthly or annually through Stripe. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

We reserve the right to change pricing with 30 days’ notice to active subscribers. Promotional codes and discounts are subject to their own terms and may be revoked at any time.

6. Your Content

You retain all rights to the documents you upload. By uploading documents, you grant GuidedSign a limited license to store, process, and transmit your documents for the sole purpose of providing the e-signing service. We do not access, review, or share the content of your documents except as necessary to provide the service or as required by law.

7. Data and Privacy

Your use of GuidedSign is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. GuidedSign may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, GuidedSign and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for any claim shall not exceed the amount you paid to GuidedSign in the 12 months preceding the claim.

GuidedSign is provided “as is” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Indemnification

You agree to indemnify and hold harmless GuidedSign from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of North Carolina.

12. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of GuidedSign after changes constitutes acceptance of the updated Terms.
